These Terms and Conditions (the “Terms”) govern your access to and use of the LUMINARIA website, digital assets, and related services (collectively, the “Platform”). By accessing, using, or interacting with the Platform, including purchasing, holding, or transferring LUMINARIA NFTs or participating in the broader LUMINARIA ecosystem, you agree to be legally bound by these Terms.
Please read these Terms carefully. If you do not agree with any part of these Terms, you should not access or use the Platform.

ACCEPTANCE OF TERMS & ELIGIBILITY
(1.1 Acceptance of Terms)
These Terms and Conditions (the “Terms”) constitute a legally binding agreement between you (“User,” "holder", “you,” or “your”) and LUMINARIA (“we,” “us,” or “our”).
By accessing or using the LUMINARIA website, interacting with our smart contracts, or purchasing, minting, holding, transferring, or otherwise interacting with LUMINARIA NFTs or related services (collectively, the “Platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the Platform.
(1.2 Eligibility)
To access or use the Platform, you represent and warrant that:
Age Requirement: You are at least eighteen (18) years old, or the age of legal majority in your jurisdiction, whichever is higher.
Legal Capacity: You have the full right, power, and authority to enter into these Terms and comply with your obligations under them.
Compliance with Laws: Your access to and use of the Platform does not violate any applicable laws or regulations in your jurisdiction.
Restricted Jurisdictions: You are not located in, ordinarily resident in, or otherwise subject to restrictions under any jurisdiction where participation in blockchain-based transactions, digital collectibles, or related services is prohibited by law.
LUMINARIA reserves the right to restrict or deny access to the Platform where necessary to comply with applicable legal or regulatory requirements.
(1.3 Modification of Terms)
LUMINARIA reserves the right to modify or update these Terms at any time at its sole discretion.
When material changes are made, the “Last Updated” date at the top of this document will be revised. Where reasonably practicable, material updates will be announced at least fourteen (14) days prior to taking effect.
Continued access to or use of the Platform after such modifications constitutes acceptance of the updated Terms.
THE PLATFORM & SERVICES
(2.1 Platform Overview)
The LUMINARIA platform (the “Platform”) refers collectively to the digital and physical ecosystem operated under the LUMINARIA brand. The Platform may include, but is not limited to:
The official LUMINARIA website and related web services
Smart contracts deployed on supported blockchain networks
LUMINARIA NFTs and associated metadata
Community platforms, dashboards, and token-gated experiences
Physical products such as trading cards, merchandise, and collectibles
Digital assets connected to physical items, including NFT-backed trading cards
Community programs, participation initiatives, and governance mechanisms
The Platform exists to support the creation, collection, and enjoyment of the LUMINARIA universe, including its artwork, lore, collectibles, and community experiences.
(2.2 Website & Digital Services)
The LUMINARIA website functions as the primary interface through which users may:
View information about the LUMINARIA ecosystem
Access community dashboards and participation tools
Purchase or redeem digital and physical products
Interact with blockchain-based smart contracts
Participate in community programs or events
The website acts solely as a user interface and does not control blockchain networks or third-party wallet providers.
(2.3 Blockchain & Smart Contracts)
Certain features of the Platform rely on blockchain technology, including the minting, ownership, and transfer of NFTs.
Smart contracts operate autonomously on supported blockchain networks and may govern:
Minting of NFTs
Transfers of digital assets
Metadata linking
Verification of authenticity
Users acknowledge that smart contracts operate independently and that LUMINARIA cannot reverse or modify blockchain transactions once confirmed.
(2.4 Physical Products)
The Platform may offer physical collectibles and merchandise, including but not limited to:
Trading cards
Art prints
Apparel
Collectible items connected to the LUMINARIA ecosystem
Some physical products may be linked to digital components such as NFTs or authenticity tokens.
Due to manufacturing processes, minor variations in color, finish, packaging, or materials may occur and do not constitute defects.
(2.5 Community Programs & Participation)
The LUMINARIA ecosystem may include community initiatives designed to encourage creative participation and collaboration. These programs may include:
Artist collaboration initiatives
Community events or competitions
Governance participation
Holder-based reward systems or tier structures
Participation in such programs may require meeting eligibility criteria and is subject to review, approval, and availability.
Eligibility does not guarantee selection or participation in any specific initiative.
(2.6 Third-Party Services)
The Platform may integrate with or rely on third-party services, including but not limited to:
Blockchain wallet providers
Payment processors
NFT marketplaces
Hosting infrastructure
Shipping and fulfillment providers
LUMINARIA does not control and is not responsible for the operation, availability, or policies of third-party services.
Users interact with such services at their own risk and are subject to the respective terms of those providers.
(2.7 Platform Evolution)
The LUMINARIA ecosystem is an evolving creative project.
Features, utilities, products, or services described on the Platform may be added, modified, delayed, or discontinued over time as the project develops.
Nothing on the Platform should be interpreted as a guarantee of future features, releases, or benefits.
NFT OWNERSHIP & LICENSE
(3.1 Ownership of NFTs)
A LUMINARIA NFT represents ownership of a unique digital token recorded on a supported blockchain network.
Ownership of the NFT token is established through the public blockchain ledger.
LUMINARIA does not maintain custody of user assets and cannot reverse blockchain transactions once confirmed.
Ownership of the NFT token does not transfer ownership of the underlying intellectual property, including the artwork, characters, lore, trademarks, or other creative elements associated with the LUMINARIA universe.
All intellectual property rights remain with LUMINARIA and/or the original creators except where explicitly licensed to NFT holders.
(3.2 Grant of License)
Subject to continued ownership of a valid LUMINARIA NFT and compliance with these Terms, the holder is granted a broad, non-exclusive, worldwide license to use, reproduce, display, adapt, and create derivative works from the associated artwork.
This license permits both personal and commercial use, including but not limited to:
Displaying the artwork on websites, social media, or digital galleries
Creating merchandise, prints, apparel, collectibles, or physical products
Using the artwork within creative projects such as games, publications, audiovisual works, or branding initiatives
The license remains valid only for as long as the holder owns the NFT.
(3.3 Restrictions)
Notwithstanding the above license, holders may not:

(3.4 Transfer of License)
All rights granted under this license are token-bound.
If a LUMINARIA NFT is sold, transferred, or otherwise disposed of:
All licensed rights automatically terminate for the previous holder
The license automatically transfers to the new holder
The previous holder must cease all use of the artwork and derivative works unless they reacquire ownership of a LUMINARIA NFT.
(3.5 Reservation of Rights)
All rights not expressly granted to NFT holders remain reserved by LUMINARIA and the original creators.
Ownership of an NFT does not grant rights to:
The LUMINARIA brand or trademarks
Collection names or logos
Other artworks within the collection
(3.6 No Guarantee of Value)
LUMINARIA NFTs are digital collectibles intended for artistic, entertainment, and community participation purposes.
Ownership of an NFT does not represent an investment, financial instrument, or guarantee of value.
The value of NFTs may fluctuate significantly and holders assume all risks associated with purchasing or holding digital assets.
INTELLECTUAL PROPERTY
(4.1 Ownership of Intellectual Property)
All intellectual property associated with the LUMINARIA project, including but not limited to:
Artwork
Characters
Lore and story elements
Collection names
Logos and trademarks
Website content
Trading card designs and visual templates
are the property of LUMINARIA and/or the original creators who contributed to the project.
Ownership of a LUMINARIA NFT does not transfer ownership of any underlying intellectual property, except for the rights expressly granted through the NFT holder license.
This includes copyrights, trademarks, brand assets, and other proprietary materials related to the LUMINARIA ecosystem.
(4.2 Brand and Trademark Protection)
All trademarks, logos, collection names, and ecosystem marks associated with LUMINARIA remain the exclusive property of the project.
NFT ownership does not grant the right to use LUMINARIA branding in a way that suggests:
Official endorsement
Partnership with the project
Official product releases
Authorized brand representation
unless explicit written permission is granted by the LUMINARIA team.
This ensures the integrity and reputation of the brand while allowing holders to create independent projects using their NFTs.
(4.3 Community Creativity and Derivative Works)
LUMINARIA encourages collectors to build creative projects using their NFTs.
Subject to the rights granted in the NFT license, holders may create derivative works based on the artwork associated with their NFT.
However, such works must not:
Falsely present themselves as official LUMINARIA releases
Infringe on the rights of other NFT holders
Register trademarks or intellectual-property rights incorporating the artwork
Misuse the project’s trademarks or branding
Derivative works created by collectors remain independent projects unless formally recognized by LUMINARIA.
(4.4 Project Use of Collection Artwork)
LUMINARIA may display and reference artworks from the collection for purposes related to the operation, promotion, and development of the LUMINARIA ecosystem.
This includes uses such as:
Showcasing NFTs on the project website
Promotional materials and trailers
Social media posts and community features
Educational or documentary content
Such uses are considered non-commercial promotional use and do not require separate permission from NFT holders.
However, the incorporation of a specific NFT artwork into commercial products or revenue-generating initiatives — including but not limited to:
Merchandise
Trading cards
Physical collectibles
Books
or licensed media — may require a separate agreement with the current NFT holder.
Where such initiatives occur, LUMINARIA may collaborate with the NFT holder and provide compensation or other benefits as defined in a separate licensing agreement.
(4.5 Right of First Refusal)
For substantial third-party commercial licensing of an NFT artwork, LUMINARIA may retain a right of first refusal to negotiate licensing rights under reasonable commercial terms.
This provision allows the project the opportunity to participate in or coordinate major commercial uses of the artwork before rights are granted to external parties.
If LUMINARIA declines to exercise this right within a reasonable period, the NFT holder may proceed with the proposed licensing arrangement independently, provided that such use does not violate these Terms or the LUMINARIA intellectual-property policies.
(4.6 Reservation of Rights)
All rights not expressly granted to NFT holders are reserved by LUMINARIA and the original creators.
Nothing in these Terms should be interpreted as granting ownership of the LUMINARIA brand, trademarks, or broader intellectual property universe.
PURCHASES & TRANSACTIONS
(5.1 NFT Minting and Purchases)
LUMINARIA NFTs may be acquired through primary sales, secondary marketplaces, or other supported distribution mechanisms.
By purchasing, minting, or otherwise acquiring a LUMINARIA NFT, you acknowledge that blockchain transactions are final and irreversible once confirmed on the network.
LUMINARIA does not control or guarantee the operation of third-party marketplaces or wallet providers used in connection with such transactions.
All primary sales are conducted on an “as-is” and “as-available” basis. LUMINARIA makes no warranties or guarantees regarding the availability, functionality, or uninterrupted operation of the minting interface, website, or related services.
(5.2 Blockchain Transactions)
Transactions involving LUMINARIA NFTs occur on public blockchain networks and are governed by the rules of those networks.
Users are solely responsible for:
Maintaining the security of their wallet and private keys
Ensuring the accuracy of transaction details before confirmation
Paying any applicable blockchain network fees (“gas fees”), including fees incurred for failed or reverted transactions
LUMINARIA cannot reverse or modify blockchain transactions and is not responsible for losses resulting from user errors, compromised wallets, or network issues.
(5.3 Secondary Market Sales and Royalties)
LUMINARIA NFTs may be transferred or sold on supported secondary marketplaces.
A royalty fee may be encoded within the smart contract and applied to eligible secondary market sales where supported by the marketplace or platform used for the transaction.
These royalties help support the continued development of the LUMINARIA ecosystem.
(5.4 No Refunds)
Due to the nature of blockchain technology, all NFT purchases and transactions are final and irreversible.
LUMINARIA does not provide refunds, exchanges, or transaction reversals for completed blockchain transactions.
Users are responsible for reviewing all transaction details prior to confirming a purchase.
(5.5 Taxes and User Responsibility)
Users are solely responsible for determining and fulfilling any tax obligations related to the purchase, sale, transfer, or holding of LUMINARIA NFTs in accordance with the laws of their jurisdiction.
LUMINARIA does not provide tax advice and encourages users to consult qualified tax professionals regarding their individual obligations.
DISCLAIMERS & RISK DISCLOSURE
(6.1 No Investment Advice)
LUMINARIA NFTs are digital collectibles intended for artistic expression, community participation, and entertainment purposes.
Nothing on the LUMINARIA website, social channels, documentation, or related materials should be interpreted as financial, investment, legal, or tax advice.
Ownership of a LUMINARIA NFT does not represent:
An investment contract
A security
Equity in any entity
A share of project revenue
Users should conduct their own research and consult qualified professionals before making financial decisions.
(6.2 No Guarantee of Value)
LUMINARIA makes no representations or guarantees regarding the value, market demand, or future price of any NFT.
NFT prices may fluctuate significantly and may become illiquid or lose value entirely.
Users acknowledge that they assume all risks associated with purchasing, holding, or transferring NFTs.
(6.3 Technology and Smart Contract Risks)
Blockchain technologies involve inherent risks, including but not limited to:
Smart contract vulnerabilities
Network congestion or transaction failures
Changes in blockchain protocols
Potential loss of access to digital wallets
While LUMINARIA aims to use secure and tested smart contracts, the project cannot guarantee that the technology is completely free from bugs, vulnerabilities, or exploits.
Users interact with blockchain technologies at their own risk.
(6.4 Regulatory and Legal Uncertainty)
The regulatory treatment of blockchain technology and digital assets is evolving and may vary between jurisdictions.
Future regulatory developments could affect:

LUMINARIA does not control and is not responsible for the availability, security, or performance of these third-party services.
Users interact with such services at their own risk and subject to the terms of those providers.
LIMITATION OF LIABILITY & INDEMNIFICATION
(7.1 Limitation of Liability)
To the fullest extent permitted by applicable law, LUMINARIA and its founders, contributors, affiliates, partners, and service providers shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to:
The purchase, ownership, or transfer of LUMINARIA NFTs
The use or inability to use the website or associated services
Market fluctuations or loss of value of NFTs
Technical issues related to blockchain networks
loss of digital assets due to wallet compromise or user error
This limitation applies regardless of the legal theory under which the claim arises, including contract, tort, negligence, or otherwise.
In no event shall the total liability of LUMINARIA exceed the amount paid by the user for the specific NFT or service giving rise to the claim.
(7.2 No Liability for Blockchain or Third-Party Failures)
LUMINARIA does not control and is not responsible for the operation of blockchain networks or third-party services.
This includes, but is not limited to:
Cryptocurrency wallets
Blockchain infrastructure
NFT marketplaces
Payment processors
Hosting services
Smart contract bugs, vulnerabilities, or unforeseen code exploits
LUMINARIA shall not be liable for losses or damages resulting from failures, disruptions, or vulnerabilities within such third-party systems.
(7.3 Indemnification)
By accessing the Platform or interacting with LUMINARIA NFTs, you agree to defend, indemnify, and hold harmless LUMINARIA and its founders, contributors, affiliates, and partners from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising from:
Your violation of these Terms
Your misuse of NFT artwork or intellectual property
Your breach of applicable laws or regulations
Any commercial or derivative projects created using your NFT
(7.4 No Class Actions)
To the fullest extent permitted by law, any dispute arising out of or relating to these Terms shall be resolved on an individual basis.
Users agree not to participate in any class action, collective action, or representative proceeding against LUMINARIA.
Claims must be brought solely in the user’s individual capacity and not as a plaintiff or member of any purported class or representative proceeding.
(7.5 Force Majeure)
LUMINARIA shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control.
Such events may include, but are not limited to:
Natural disasters or acts of God
Government actions or regulatory restrictions
Widespread internet or infrastructure outages
Blockchain network disruptions
Cyberattacks or large-scale technological failures
In such circumstances, LUMINARIA’s obligations under these Terms may be suspended for the duration of the event.
USER CONDUCT & PROHIBITED ACTIVITIES
(8.1 Acceptable Use)
Users interacting with the LUMINARIA Platform, NFTs, or community spaces agree to act in good faith and in a manner that respects other participants and the integrity of the LUMINARIA ecosystem.
Users must comply with all applicable laws and regulations when interacting with the Platform, NFTs, or related services.
(8.2 Prohibited Activities)
Users may not engage in activities that harm the LUMINARIA ecosystem or other participants.
Prohibited activities include, but are not limited to:
Harassment, abuse, or discrimination toward other community members
Impersonating LUMINARIA or falsely claiming official affiliation
Conducting scams, fraud, or deceptive practices using LUMINARIA NFTs
Distributing malware or engaging in hacking attempts
Violating applicable laws or regulations
Using the Platform to promote illegal activities
(8.3 Community Spaces and Moderation)
LUMINARIA may operate community spaces such as Discord servers, forums, or social channels.
Participation in these spaces is subject to the rules and guidelines established by the project.
LUMINARIA reserves the right to remove content, restrict access, or suspend users who violate these Terms or community guidelines.
Moderation decisions may be made at the project’s discretion in order to maintain a safe and respectful environment.
LUMINARIA is not obligated to monitor all user activity or communications across its platforms. However, the project reserves the right to review, investigate, and take action against conduct that violates these Terms or applicable community guidelines.
(8.4 Misuse of NFTs or Intellectual Property)
While NFT holders may create independent projects using their artwork as permitted under the NFT license, such use must not:
Misrepresent the project or imply official endorsement
Involve illegal, fraudulent, or harmful activities
Damage the reputation of LUMINARIA or its artists
Violate the intellectual property rights of others
Using the LUMINARIA name, trademarks, or branding within domain names, social media handles, project titles, or business names in a way that may cause confusion regarding official affiliation with the LUMINARIA project
LUMINARIA reserves the right to take appropriate action, including revoking licensing permissions where permitted under the applicable licensing terms, if NFTs are used in violation of these Terms.
TERMINATION & MODIFICATIONS
(9.1 Termination of Access)
LUMINARIA reserves the right to suspend or terminate access to the Platform, website, or community spaces effective immediately and without prior notice at its discretion if a user violates these Terms or engages in conduct that harms the LUMINARIA ecosystem.
Such actions may include:
Restricting participation in community spaces
Removing content
Suspending accounts or access to project services
Termination of access does not affect the ownership of NFTs held in a user’s wallet, as blockchain assets remain under the control of the wallet holder.
(9.2 Termination of License for Breach)
The rights granted to NFT holders under the LUMINARIA license are contingent upon compliance with these Terms.
If a holder materially violates these Terms — including misuse of intellectual property, unlawful activity, or prohibited commercial conduct — LUMINARIA may revoke the license granted to that holder.
Upon termination of the license, the holder must immediately cease use of the artwork and any derivative works based on it.
(9.3 Modification of Services)
LUMINARIA may modify, update, suspend, or discontinue any part of the Platform, website, or related services at any time.
This may include:
Changes to website features
Updates to smart contract integrations
Modification of ecosystem programs or utilities
LUMINARIA will make reasonable efforts to communicate significant changes through official channels, including the LUMINARIA website and official project communication platforms such as X (Twitter) or Discord, when practicable.
LUMINARIA shall not be liable for any loss of perceived value, opportunity, or benefits resulting from modifications, updates, or discontinuation of services or ecosystem features.
(9.4 Modification of Terms)
LUMINARIA reserves the right to modify or update these Terms at any time at its sole discretion.

These Terms and any disputes arising out of or relating to the LUMINARIA Platform, NFTs, or associated services shall be governed by and construed in accordance with the laws of the jurisdiction in which LUMINARIA is established, without regard to conflict-of-law principles.
(10.2 Dispute Resolution)
In the event of any dispute arising out of or relating to these Terms or the use of the LUMINARIA Platform, the parties agree to attempt to resolve the matter through good-faith negotiations before pursuing formal legal action.
If a dispute cannot be resolved through informal negotiation, it shall be submitted to the exclusive jurisdiction of the competent courts of the jurisdiction specified in Section 10.1, unless applicable law requires otherwise.
(10.3 Individual Claims Only)
To the fullest extent permitted by law, any dispute arising from these Terms must be brought on an individual basis.
Users agree not to participate in class actions, collective actions, or representative proceedings against LUMINARIA.
All claims must be brought solely in the individual capacity of the user.
(10.4 Statute of Limitations)
Any claim or cause of action arising out of or relating to these Terms or the use of the LUMINARIA Platform must be filed within one (1) year after the claim arises.
If not filed within this period, the claim shall be permanently barred, to the extent permitted by applicable law.
(10.5 Legal Fees)
In the event of any dispute arising from these Terms, the prevailing party may be entitled to recover its reasonable legal fees and costs, to the extent permitted by applicable law.
PHYSICAL PRODUCTS & TRADING CARDS
(11.1 Physical Products)
All physical products are provided on an “AS-IS” and “AS-AVAILABLE” basis without warranties of any kind, whether express or implied, including but not limited to warranties regarding quality, durability, color accuracy, fit, or merchantability.
All sales of physical items are final, and LUMINARIA does not offer returns, refunds, or exchanges for reasons such as buyer’s remorse, sizing issues, or subjective dissatisfaction.
If a physical item is delivered damaged or materially defective, the recipient may contact LUMINARIA within a reasonable time after delivery to request a replacement or other appropriate resolution, subject to verification of the issue and availability of replacement inventory.
(11.2 Fulfillment & Shipping)
Physical items may be produced and fulfilled through third-party manufacturers and fulfillment partners. Production timelines, shipping costs, delivery estimates, and availability may vary depending on geographic location and manufacturing schedules.
LUMINARIA is not responsible for delays caused by manufacturing issues, shipping carriers, customs procedures, or other circumstances outside its reasonable control.
The recipient is solely responsible for all import duties, VAT, customs fees, or local taxes associated with the delivery of physical goods.
(11.3 Redemption Mechanics)
Certain NFTs may grant access to redeemable physical items, digital rewards, or limited products.
Eligibility for redemption may be determined by verification of NFT ownership at a time or blockchain snapshot selected by LUMINARIA.
Unless otherwise specified, redemption rights:

May require verification of NFT ownership
May be subject to additional eligibility requirements
Failure to redeem within the specified redemption window may result in the forfeiture of the associated reward.
(11.4 Trading Card Game (TCG))
LUMINARIA may develop and distribute a trading card game or other collectible card products based on characters, artwork, or lore from the LUMINARIA ecosystem.
If an NFT artwork is selected for inclusion in a trading card product:
The NFT holder may be offered a compensation arrangement, such as a flat fee or licensing agreement
LUMINARIA may obtain the necessary rights to produce, distribute, and commercialize the card design
Specific terms governing such arrangements will be defined in separate agreements where applicable.
(11.5 No Guarantee of Physical Utilities)
Physical products, merchandise releases, and trading card game development described within the LUMINARIA ecosystem are aspirational features and may change, evolve, be delayed, or be discontinued at LUMINARIA’s sole discretion.
Ownership of a LUMINARIA NFT does not guarantee access to any specific physical item or product unless explicitly stated at the time such offering is made.
ECOSYSTEM PARTICIPATION & COMMUNITY PROGRAMS
(12.1 Community Participation)
LUMINARIA may offer community-driven initiatives, participation programs, governance activities, and reward mechanisms designed to encourage engagement within the LUMINARIA ecosystem.
Such initiatives may include, but are not limited to:
Governance voting or community proposals
Holder tiers or recognition programs
Participation incentives or rewards
Contributor collaborations or creator programs
Community events, contests, or creative initiatives
Participation in these programs is voluntary and subject to eligibility criteria determined by LUMINARIA.
(12.2 Program Modifications)

(12.3 No Guaranteed Benefits)
Participation in ecosystem programs does not guarantee access to specific rewards, privileges, utilities, or benefits.
Any rewards, utilities, or recognition offered through community participation may be limited in quantity, time, or eligibility, and may change over time.
Ownership of a LUMINARIA NFT does not guarantee eligibility for all ecosystem programs unless explicitly stated at the time such program is offered.
